In the event of a dispute arising from the interpretation or implementation of these terms and conditions, the parties agree to engage in good faith negotiations aimed at resolving the matter amicably. If the dispute cannot be resolved through negotiations within 30 days, either party may refer the matter to a neutral third-party mediator. The mediator's role is to facilitate a fair and impartial resolution. If mediation is unsuccessful, either party may seek binding arbitration. The arbitration process will be conducted in accordance with the rules of a reputable national or international arbitration body, such as the American Arbitration Association or the International Chamber of Commerce.

The Issuer represents and warrants that as of the Effective Date it is a validly existing company under the laws of the jurisdiction in which it resides, and has the power to enter into this Agreement. The Issuer also represents and warrants that all necessary corporate action has been taken, or will be taken on or before the date of execution of this Agreement, to authorize the issuance and sale of the Securities. Furthermore, the Issuer warrants that it has delivered to the Purchaser a true and complete copy of its organizational documents as in effect on the Effective Date, including articles of incorporation and bylaws.

This clause constitutes the entire agreement among the parties hereto pertaining to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings relating to such subject matter. The terms and conditions of this Agreement shall be binding upon and inure to the benefit of the parties and their respective successors, assigns, heirs, executors, and administrators. No modification or amendment to this Agreement shall be effective unless specifically set forth in a writing signed by the authorized representative of each party. Any waiver granted by either party to the other with respect to any term or condition contained herein shall not be deemed to be a waiver of such term or condition for the future or of any other term or condition.
